Emeril Lagasse is leaving the Food Network’s prime-time schedule for the Fine Living Network, a move the chef hopes will mean a second course of “Emeril Live!”

The show that combines cooking, music and the chef’s own energetic personality has been a staple of the Food Network’s prime-time lineup since its 1997 debut.

But ratings have tailed off, and last year the Food Network moved the show from 8 p.m. Eastern to 7 p.m. Its average audience has declined from 717,000 three years ago to 579,000 this year, according to Nielsen Media Research.

The Food Network will air reruns of “Emeril Live!” in the afternoon. But corporate sister the Fine Living Network will pick up the show at 7 p.m. starting on July 7.

The show will air seven nights a week in that time slot. In its first week, five original episodes will be shown and, for about two months, a new episode will be shown each Monday while the rest are reruns.

Fine Living is carried in about 50 million homes, fewer than half the nation’s 110 million homes with television. The Food Network is in more than 90 million.

“As you know in television, things have to evolve and this is a little evolution for me,” Lagasse said.

While his prime-time showcase may be smaller, Lagasse said it represented an opportunity to expand his fan base to people who might not necessarily seek him out. He’ll also be paired on the schedule with Martha Stewart; on weekdays Fine Living airs reruns of Stewart’s syndicated program a day after it’s shown on broadcast television.

“It’s really what I consider to be a network-defining moment for us,” said Bob Baskerville, Fine Living Network president.

Fine Living will be rated by Nielsen Media Research for the first time this fall, and Stewart and Lagasse provide some big draws.

Lagasse held out hope that if the reruns do well on Fine Living and on the Food Network during the daytime, corporate owners the Scripps Networks would decide to order a new run of “Emeril Live!” episodes.

“Who knows what’s going to happen?” he said.

On today’s edition of ‘The Martha Stewart Show’ (check local listings), daytime host Martha Stewart was joined by her new business partner and TV chef Emeril Lagasse. The pair discussed for the first time together yesterday’s news confirming that Martha’s company has acquired Emeril’s business assets (other than his restaurants).

Here is a little bit of what was said on the show today:

Martha: Tell everybody how this deal came about?

Emeril: You have a very interesting chairman by the name of Charles Koppelman, and I’ve known Charles in another life. How this came about is, Charles brought his grandchildren, who were huge fans of ‘Emeril Live’, to the show…

Martha: They were so excited!

Emeril: They appeared and I hadn’t seen Charles in a long time, so I said, ‘What are you up to?’ And he said, ‘I’m working with Martha.’ I said, ‘You know Charles, I’ve really been wondering how to expand in a quality way my brand, and there’s only one person that I look up to, and that’s Martha.’

Martha: You look up to me? I wore my highest heels so that he’d have to look up to me.

Emeril: That’s not fair! I have flip-flops on.

Martha: This was a long negotiation – not onerous, but it was a long negotiation. And you always have to have a closing dinner.

Emeril: I get to cook for you?

Martha: Yes, you get to cook for me! Since I’ve know Emeril since the 1980s, I’m really pleased that this has come to pass.

Martha: We’re not going to make you move.

Emeril: I know!

Martha: That was part of the deal.

Here are the details of the transaction:

Martha Stewart Living Omnimedia, Inc. (NYSE: MSO) today announced it has reached an agreement with Chef Emeril Lagasse to acquire the assets related to the business of Emeril Lagasse, other than the restaurant and foundation-related assets, in a transaction that pairs one of the biggest brands in food-related content with the established leader in “how to” lifestyle information and content.

Under the terms of the transaction, MSLO is acquiring the rights to the Emeril Lagasse franchise, including:

Television Programming: The Essence of Emeril and syndication episodes of Emeril Live on The Food Network, and food correspondent segments on ABC’s Good Morning America;

Cookbooks: library of twelve cookbooks, including Emeril’s Delmonico and Emeril’s There’s a Chef in My World;

Internet: emerils.com Web site;

Licensed Kitchen Products: Emeril-branded cookware by All-Clad, cutlery by Wusthof, and tableware by Wedgwood; and electrical appliances by T-fal;

Food Products: includes Bam! B-Q sauce, spices, marinades, coffee and more.

Lagasse’s eleven restaurants and corporate office, which is called Emeril’s Homebase, will be unaffected by this transaction and will continue to operate in New Orleans with full staff. The company will continue to expand into new locations.

“Emeril brings talent, energy and legions of fans to the Martha Stewart family, along with a powerful brand and an attractive, profitable business franchise,” said Susan Lyne, President and Chief Executive Officer of MSLO. “Emeril’s high-quality food-related content and product lines complement our own, and offer multi-platform expansion opportunities. He brings to the MSLO fold a well-managed company with highly attractive EBITDA and cash flow levels that will contribute immediately to our performance. This acquisition is a significant one strategically as we expand and diversify our business by applying our expertise in managing multi-platform lifestyle brands.” Lyne continued, “Everyone at MSLO is looking forward to welcoming Emeril on board. We are committed to giving him the freedom to continue doing what he does best: entertaining and inspiring food lovers everywhere.”

Chef Emeril Lagasse is a national TV personality with broad consumer appeal. He joined the Food Network in 1993 and has hosted over 1600 shows. His programs The Essence of Emeril and Emeril Live reach more than 85 million homes daily. The Essence of Emeril has been nominated for numerous Emmy Awards, and will be internationally syndicated later this year. Emeril Live, a highly rated program for over 10 years, won a Cable Ace Award for “Best Informational Series” and is now in syndication. In addition to his television programming, Emeril has a successful line of cookbooks with nearly 4 million copies sold as well as branded kitchen products and food with such industry leaders as All-Clad and Sara Lee.

The purchase price is $50 million, $45 in cash and $5 million in stock, at closing, and could reach up to $70 million if certain performance targets are realized in 2011 and 2012. The transaction is expected to close in the second quarter. In 2007, the business to be acquired generated approximately $14 million in 2007 cash-basis revenue. MSLO expects the assets to generate adjusted EBITDA of approximately $8 million in the first full year of operation, based on the Emeril business’ non-GAAP financial results.

Martha Stewart Living Omnimedia Inc. is bringing in a new celebrity: popular TV chef Emeril Lagasse. The New York-based media and merchandising company founded by domesticity maven Martha Stewart announced Tuesday that it bought the rights to Lagasse’s franchise of cookbooks, television shows and kitchen products from him for $45 million in cash and $5 million in stock.

The final price could rise to up to $70 million if certain benchmarks are achieved.

Martha Stewart did not acquire Emeril’s Homebase, which includes Lagasse’s 11 restaurants and corporate office.

Lagasse remains the host of the Food Network’s “Essence of Emeril,” but the food network channel ceased production of “Emeril Live” late last year, though it continues to air new episodes in 2008.

In a statement released Tuesday, the Food Network said, “We are happy to see that these two great brands will be combining forces and wish both of them the best. All of the Emeril’s shows will remain on the network, and we also look forward to working with him on future projects.”

Martha Stewart Living said the deal will “contribute immediately to our performance,” adding $8 million in earnings before interest, taxes, depreciation and amortization. The acquired assets generated $14 million in revenue in 2007.

Martha Stewart Living expects the deal to close in the second quarter.

Food Network is kicking Emeril Lagasse down a notch.

The celebrity chef’s “Emeril Live,” which has been on the air for 10 years, will cease production December 11, Food Network publicist Carrie Welch told The Associated Press.

“However, Emeril is under contract with Food Network,” Welch said Tuesday. “We love him, we support him and look forward to a long partnership with him.”

Welch wouldn’t comment on Lagasse’s contract.

Asked why the show was canceled, she told the AP: “The only reason would be that it hit a ton of television milestones and, you know, all good things come to an end.”

The Food Network will continue producing Lagasse’s “The Essence of Emeril,” and he will take part in “specials and other development opportunities in the future,” Welch said.

The network will also air reruns of “Emeril Live.”

“I am deeply appreciative to all the unbelievable staff — many who have been with the show since the beginning — and all the loyal viewers, and the many talented guests who have appeared on the show through the years,” Lagasse, 48, said in a statement provided by Welch.

“I look forward to continuing my association with the Food Network with ‘The Essence of Emeril,’ and I have lots of new ideas cooking,” he said.
